1. Introduction & Acceptance of Terms
Welcome to the LVJ LLC website (the "Site"). These Terms of Use ("Terms") constitute a legally binding agreement between you ("you," "your," or "Client") and LVJ LLC, a limited liability company registered in the State of Delaware, USA ("LVJ," "we," "us," or "our").
Our services ("Services") consist of providing visa and immigration consultancy, administrative support, information, and document management assistance for individuals seeking to move to Portugal. A core part of our Service is to facilitate an introduction to and communication with independent, licensed legal professionals in Portugal.
By accessing, browsing, or using this Site and our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these terms, you must not use our Site or Services.
2. Scope of Our Services
LVJ LLC provides administrative and consultancy services only. Our Services include, but are not limited to:
- Providing informational guides, checklists, and materials regarding Portuguese visa processes.
- Assisting clients in filling out and organizing application forms.
- Acting as an intermediary to connect clients with independent, licensed Portuguese lawyers ("Local Counsel").
- Facilitating communication and the transfer of documents between you and the Local Counsel.
3. IMPORTANT: No Legal Advice & Disclaimer Regarding Third-Party Services
This is a critical component of our agreement. You explicitly acknowledge and agree to the following:
3.1. No Attorney-Client Relationship with LVJ LLC: LVJ LLC is not a law firm. We do not provide legal advice, legal opinions, or legal representation. Your use of our Site and Services does not create an attorney-client relationship between you and LVJ LLC. Any information we provide is for informational and administrative purposes only and should not be construed as legal advice.
3.2. Independent Local Counsel: All legal services are provided exclusively by independent, third-party Local Counsel in Portugal who are not employees, partners, or agents of LVJ LLC. When you engage with Local Counsel, you will enter into a separate client-lawyer relationship governed by its own terms of engagement and fee structure, directly with that Local Counsel.
3.3. No Responsibility for Third-Party Services: LVJ LLC is not a party to the client-lawyer relationship between you and the Local Counsel. We expressly disclaim any and all liability or responsibility for the professional advice, actions, omissions, errors, or quality of work provided by the Local Counsel or any other third party. Your sole recourse for any malpractice or issues related to legal services is directly with the Local Counsel you engage.
3.4. No Guarantee of Outcome: LVJ LLC makes no promise or guarantee regarding the outcome of your visa or residency application. All application decisions are made at the sole discretion of the relevant Portuguese government authorities (e.g., AIMA, Ministry of Foreign Affairs).
4. Client Responsibilities
To use our Services effectively, you agree to:
- Provide complete, accurate, and truthful information on all forms and in all communications.
- Review all documents and application materials for accuracy before submission. The final responsibility for the correctness of your application rests with you.
- Cooperate in a timely manner with both LVJ LLC and the engaged Local Counsel.
- Promptly pay all fees owed to LVJ LLC for its consultancy Services and all separate legal fees owed directly to the Local Counsel.
5. Consent to Share Information with Third Parties
By providing any information, data, or documents to LVJ LLC throughout your client journey, you hereby grant us your explicit and unambiguous consent to share this information with third-party service providers of our choosing. You understand and agree that this sharing is essential for us to provide you with the opportunity to receive the Services you have engaged us for. These third parties may include, but are not limited to, the Local Counsel, translation services, notaries, and other professional entities required to advance your application. Our sharing of your information will be done solely for the purpose of facilitating the Services.
6. Fees, Payments, and Refunds
Our consultancy fees are for the administrative and intermediary services provided by LVJ LLC as described in Section 2. These fees are separate and distinct from any legal fees you will owe to the Local Counsel.
All fees paid to LVJ LLC are non-refundable once we have commenced providing our Services, as our fees are for the work performed, not the outcome of the visa application.
7. Intellectual Property Rights
All content on this Site, including but not limited to text, graphics, logos, checklists, forms, and guides (the "Content"), is the property of LVJ LLC and is protected by United States and international copyright, trademark, and other intellectual property laws.
We grant you a limited, non-exclusive, non-transferable license to access and use the Content for your personal, non-commercial use in connection with your visa application. You may not copy, reproduce, distribute, modify, or create derivative works from our Content without our express prior written consent.
8. Limitation of Liability
To the fullest extent permitted by law, LVJ LLC, its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to, loss of profits, data, or goodwill, arising from your use of the Site or Services, or from any action or inaction of the Local Counsel.
In no event shall the total aggregate liability of LVJ LLC for any and all claims arising out of or related to these Terms exceed the amount of the consultancy fees paid by you to LVJ LLC.
9. Data Privacy & GDPR
We are committed to protecting your privacy. Our collection and use of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. As we serve clients who may be in the European Union, our Privacy Policy is designed to comply with the General Data Protection Regulation (GDPR). Your consent to share information as described in Section 5 is a key part of our data processing basis. You also consent to the transfer of your information to us in the United States and to the Local Counsel and other necessary third parties in Portugal as required to perform the Services.
10. Governing Law and Dispute Resolution
These Terms and any dispute arising out of your use of the Site or Services shall be governed by and construed in accordance with the laws of the State of Delaware, USA, without regard to its conflict of law principles.
You agree to submit to the exclusive jurisdiction of the state and federal courts located in the State of Delaware to resolve any legal matter arising from these Terms.
11. General Provisions
- Amendments: We reserve the right to modify these Terms at any time. We will notify you of any changes by posting the new Terms on this Site. Your continued use of the Services after such a change constitutes your acceptance of the new Terms.
- Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and LVJ LLC regarding our Services.
- Severability: If any provision of these Terms is held to be invalid or unenforceable, that provision will be struck, and the remaining provisions will be enforced to the fullest extent under law.
